Terms of Service

These Terms of Service (“Terms”) form a binding contract between you (“Customer,” “you”) and 513AI LLC (“513 AI,” “we,” “us”) governing your access to and use of our website at www.513ai.ai, our AI products, our SMS messaging programs, our voice services, and our APIs (collectively, the “Services”).

By creating an account, purchasing a Service, sending or receiving SMS through our programs, or otherwise using the Services, you accept these Terms and our Privacy Policy. If you are accepting these Terms on behalf of an organization, you represent that you have authority to bind that organization.

513 AI provides productized AI services for small businesses, including:

• AI Follow-Up — two-way SMS and email automation that follows up on your quotes, inquiries, and missed calls until the lead responds or opts out.
• AI Review Manager — automated request and response handling for Google Business Profile and Yelp customer reviews.
• AI Chatbot — conversational AI deployed on your website, Instagram, and Facebook channels.
• AI Receptionist — 24/7 voice agent that answers inbound calls on your existing line and handles scheduling, FAQs, and warm transfers.
• AI SEO Agent — autonomous search optimization, content generation, local search management, digital PR, and reporting.
• AI Lead Reactivation — one-shot 30-day multi-channel campaigns targeting dormant customer lists.
• AI Ops Suite — custom AI builds and workflow automation, quoted per project.

We may add, modify, or discontinue features of the Services with reasonable notice. Material reductions in functionality will be communicated by email at least thirty (30) days before they take effect.

• Pricing is published at www.513ai.ai/pricing. Prices listed are exclusive of applicable taxes.
• Setup fees are charged once at the start of each product engagement. Setup fees are non-refundable once we have begun work, except as required by law.
• Recurring fees are billed monthly in advance via the payment method you authorize at checkout (processed by Stripe). Multi-location discounts and prepaid annual options may be offered on request.
• Cancellation: you may cancel any recurring Service at any time by emailing hello@513ai.ai with thirty (30) days written notice. One final billing cycle will be charged. After cancellation, we will turn off the AI agents and delete your customer data per our Privacy Policy.
• Refunds: monthly fees are non-refundable for partial months. We may, at our discretion, issue a goodwill refund where a service failure was caused by us.
• Failed payments: if a payment fails, we will retry up to three times over seven days. If still unpaid, we may suspend the affected Service.
• Included maintenance: each recurring product includes one (1) free hour of changes per month. Additional work bills at $75/hour rounded to 15-minute increments.
• Approved discounts: the only discounts we authorize at checkout are those whose codes appear in our published approved-promo list. Any other offer requires written confirmation from our team to be honored.

By providing your phone number through any 513 AI channel (web form, checkout, inbound text to a number we operate, voice IVR opt-in), you consent to receive SMS from 513 AI as part of the following programs.

Program name

513 AI Follow-Up, 513 AI Lead Reactivation, 513 AI Receptionist follow-ups, and related transactional and conversational SMS programs.

Program description

Two-way conversational messages in response to your inquiries or to events you have set up (e.g., missed call follow-up, appointment reminders, lead notification replies, approved promotional codes, booking links). All messages are reactive to your contact or to an event you authorized.

Message frequency

Variable, based on your activity. Conversational programs reply to each message you send. Active reactivation campaigns may send up to one message per business day during the campaign window.

Message and data rates

Standard message and data rates may apply. Charges are billed by your wireless carrier, not by 513 AI.

How to opt out (STOP)

Reply STOP (or END, QUIT, CANCEL, UNSUBSCRIBE) to any message from a 513 AI number. You will receive a single confirmation message and no further marketing or conversational messages on that program. You may continue to receive transactional messages (e.g., payment receipts) where you have an active account.

Carriers

We deliver SMS via licensed US carriers including AT&T, T-Mobile, Verizon, and their MVNOs. Neither the carriers nor 513 AI are liable for delayed or undelivered messages.

You agree NOT to use the Services to:

• Send unsolicited bulk messages, spam, phishing, or content that violates the TCPA, CAN-SPAM, CTIA messaging principles, or any equivalent local law.
• Upload contact lists you do not have documented opt-in consent for. For our AI Lead Reactivation product specifically, you represent and warrant that every contact you upload has provided opt-in consent within the last 18 months.
• Use the Services for illegal goods or services, fraud, harassment, content harmful to minors, or anything that violates a third party's rights.
• Reverse-engineer, decompile, or attempt to bypass our security controls or rate limits.
• Misrepresent your identity or the identity of your business in onboarding, in SMS opt-in records, or to our team.
• Resell or white-label the Services without a separate written reseller agreement.

We may suspend or terminate the Services without refund for violations of this section.

• You are responsible for the accuracy of the business information you provide at onboarding (legal name, EIN, address, services, pricing, hours). Our AI agents draw from this to answer your customers; inaccurate inputs cause inaccurate outputs.
• You are responsible for content you instruct us to publish on your behalf (website copy, GBP posts, SEO articles). We provide approval workflows where available; failure to use them constitutes pre-approval of our agent's outputs within the canonical brand guidelines you supplied.
• You are responsible for keeping the carrier-side call-forwarding (CFNA) active on your existing business line, and any email forwarding rules you configured, if you have chosen those deployment models for AI Receptionist or AI Follow-Up.
• You are responsible for renewing any third-party accounts (Google Business Profile, Meta Business, Cal.com, etc.) where we operate on your behalf via OAuth. We will notify you if a token expires.

• Our IP: 513 AI retains all rights to its software, agent architectures, prompts, models, infrastructure, training data, documentation, and brand assets. Your subscription grants you a non-exclusive, non-transferable, revocable license to use the Services during the subscription term.
• Your IP: you retain all rights to your business data, customer records, brand assets, and content you upload. You grant us a limited license to host, process, transmit, and modify that content solely to deliver the Services.
• AI-generated outputs: to the extent our agents generate text, audio, or other content for you, we assign to you the rights in that output upon full payment of the associated fees, subject to our retained rights in the underlying models and prompts.
• Customer feedback: any suggestions or feedback you provide may be used by us without obligation.
• Case studies: we will not publish a case study or testimonial naming you without your written consent.

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM A COURSE OF DEALING.

WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, FREE OF HARMFUL COMPONENTS, OR THAT ANY AI OUTPUT WILL BE ACCURATE, COMPLETE, OR FREE OF HALLUCINATION. YOU REVIEW AND USE AI OUTPUTS AT YOUR OWN RISK.

WE DO NOT GUARANTEE ANY SPECIFIC BUSINESS RESULT (REVENUE LIFT, SEO RANKING, APPOINTMENT VOLUME, CALL ANSWER RATE, OR LEAD CONVERSION).

TO THE MAXIMUM EXTENT PERMITTED BY LAW, 513 AI'S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE AMOUNTS YOU PAID US FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

IN NO EVENT WILL 513 AI BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUES, DATA, OR GOODWILL, EVEN IF ADVISED OF THE POSSIBILITY.

Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability; the above limitations apply to the maximum extent permitted in your jurisdiction.

You agree to indemnify and hold 513 AI harmless from any third-party claim arising out of: (a) your violation of these Terms, (b) your violation of any law or third party right, (c) inaccurate or unauthorized information you provided us at onboarding, or (d) your customer lists provided without proper opt-in consent for our SMS programs.

These Terms remain in effect while you have an account or subscription. We may terminate or suspend your access immediately for: (a) violation of these Terms, (b) suspected fraud, (c) non-payment after retries fail, or (d) a regulatory requirement. Sections 7, 8, 9, 10, and 13 survive termination.

We may update these Terms from time to time. Material changes will be communicated by email to active customers at least thirty (30) days before they take effect. Continued use of the Services after the effective date constitutes acceptance of the updated Terms.

These Terms are governed by the laws of the State of Ohio, without regard to conflict-of-laws principles. Any dispute arising out of or related to these Terms or the Services will be brought exclusively in the state or federal courts located in Hamilton County, Ohio, and you consent to the personal jurisdiction of those courts. The parties agree to attempt good-faith resolution by direct communication before initiating litigation.

• Entire agreement: these Terms plus the Privacy Policy and any order form or SOW between us constitute the entire agreement on this subject.
• Severability: if any provision is found unenforceable, the remainder will continue in effect.
• No waiver: our failure to enforce a right is not a waiver of that right.
• Assignment: you may not assign these Terms without our prior written consent. We may assign in connection with a merger, acquisition, or sale of substantially all our assets.
• Force majeure: neither party is liable for failures caused by events beyond reasonable control (natural disaster, war, carrier outage, upstream-provider outage).
• Notices: notices to us must be sent to legal@513ai.ai and to 513AI LLC, 575 W Main St Unit 132, Batavia OH 45103. Notices to you may be sent to the email on file.
